We’re proposing to update our Club’s name to North Rocks Football Club. This change aligns us with our governing bodies – Football NSW, Football Australia, and Hills Football Inc – and reflects our shared identity within the broader football community. While our name will be updated, our commitment to our players, families, and community remains the same.

Our Constitution sets out how the club operates – from how decisions are made, to roles and responsibilities, and the rights of our members.

It's about creating flexible, modern governance for the Club to operate more efficiently.

-  External Consultation: Consultation on the Draft Constitution will formally close on 1 October 2025.

- Notice of AGM and Board Nominations: In accordance with governance requirements, the Notice of Annual General Meeting and details regarding Board nominations will be issued to members during October 2025.

- Annual General Meeting: The Annual General Meeting is scheduled for 17 November 2025. The Club will confirm this date in separate correspondence.

FREQUENTLY ASKED QUESTIONS

We’ve put together answers to the questions we hear most about the Draft Constitution. From how it affects volunteering, to membership roles, and what changes mean for the Club’s future, this FAQ is your quick guide to understanding the updates. Check it out to stay informed and have your say!

1. Why change the constitution now?

The current constitution is out of date and requires some significant modifications to help our Club be governed effectively and meet requirements. The proposed constitution encompasses the former document and makes allowances for the Club to operate under best practice governance.

2. Will the purpose of the club remain the same?

Yes, the objects of the Club will remain similar. In the proposed constitution the objects of the Club are to conduct, encourage, promote, advance and administer Football throughout the Local Area. This includes actively fostering Football skill development, organising and conducting competitions within the Association and maintaining a good image of the Club and Football. 3. Who was involved in drafting it?

A sub-committee was formed of elected committee members who consulted with lawyers from Landers and Rodgers who specialise in constitutions for sporting associations and clubs.

4. What happens at the AGM?

At the AGM, members will vote on adopting the new Constitution. A majority vote is required for it to pass. The AGM is scheduled for 17 November 2025, and all members will be notified in advance. To participate, members will need to register their attendance.

5. Why are you proposing to change the name of the club to North Rocks Football Club?

The name change aligns our Club with our governing bodies – Football Australia, Football NSW, and Hills Football Inc – ensuring consistency and recognition across all levels of the sport.

6. Do we vote on the resolutions to change the name of the club and adopt the Constitution separately, or as a package?

According to our lawyers, Landers & Rodgers, members will first vote on the resolution to change the Club’s name to North Rocks Football Club Incorporated.
- If the name change is approved, members will then vote to adopt the Constitution under the new name.
- If the name change is not approved, members will vote to adopt the Constitution under the existing name, North Rocks Soccer Club Inc.

Both Constitution options are identical except for the Club’s name.

7. What happens if the proposed constitution is not adopted?

If the Constitution is not approved by members, the Club will continue operating under its current Constitution. The Committee may review feedback from members and consider proposing a revised Constitution in the future.

8. What happens if the proposed name change is not adopted?

The Club will continue to be known as North Rocks Soccer Club Inc.

9. Will the same committee roles exist under the proposed Constitution?

The Club will be run by a maximum 7-person Board of Directors. The Board can appoint individuals to functional roles, such as Registrar, to help manage the Club and achieve its strategic priorities. Other supporting roles may be organised as sub-committees, as decided by the Board.

10. How will these changes affect my rights or responsibilities as a member?

Under the proposed Constitution, members have clear voting rights and a better understanding of their role, making it easier to participate in and influence Club decisions.

11. How does this change the way we elect individuals to govern the Club?

The proposed Constitution improves governance and transparency. Currently, anyone can attend the AGM and be elected to a role with enough support. Under the new Constitution, candidates for the Board must:
- Formally declare their intention at least 45 days before the AGM
- Demonstrate the skills, expertise, and contributions that they can bring to the Club

12. What happens if the changes are approved?

Voting members will then elect a Board of Directors from the list of nominated candidates, setting the Club up for stronger governance and strategic growth.
